1. Acceptance of Terms
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you or the entity you represent ("Customer", "User", "You") and Convoos (convoos.si) ("Company", "We", "Us", "Our").
By accessing our website, creating an account, connecting Meta APIs or WhatsApp Business Accounts, or using any Convoos SaaS platform services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility & Account Security
You must be at least 18 years old and possess the legal authority to enter into agreements on behalf of your business entity. You are responsible for:
- Maintaining the confidentiality of your login credentials, API secrets, and webhook tokens.
- All activities that occur under your user accounts and organization workspace.
- Immediately notifying Convoos at [email protected] of any unauthorized access.
3. Scope of Convoos Services
Convoos grants you a non-exclusive, non-transferable, revocable license to access our platform to:
- Manage two-way business customer conversations via the official WhatsApp Business API.
- Automate lead ingestion from Meta Lead Ads, Instagram DMs, and Facebook Pages.
- Deploy autonomous AI chatbots, broadcast campaigns, and automated follow-up sequences.
- Collaborate with customer success agents using the omnichannel shared team inbox.
4. Meta & WhatsApp Messaging Policies
- Explicit Opt-In: You must obtain verifiable opt-in consent from recipients prior to sending outbound marketing or promotional WhatsApp broadcasts.
- Template Approval: All marketing, utility, and authentication message templates must be pre-approved by Meta before transmission.
- Quality Rating: You must maintain a Green/Medium WhatsApp Phone Number Quality Rating. Excessive user blocks may result in automated tier downgrades by Meta.
5. Prohibited Uses & Anti-Spam Rules
You expressly agree that you will not use Convoos to:
- Send unsolicited spam, deceptive phishing attempts, or fraudulent messages.
- Promote prohibited goods or services (e.g., weapons, illegal drugs, unauthorized pharmaceuticals, predatory loans).
- Reverse-engineer, decompile, scrape, or perform denial-of-service attacks against Convoos systems.
6. Subscriptions, Fees & Billing
Access to Convoos SaaS is billed on a recurring monthly or annual subscription basis. All fees are quoted exclusive of applicable taxes unless stated otherwise.
- Platform Fees: Subscription tiers cover software platform access, team seats, and included feature sets.
- Meta Conversation Charges: WhatsApp conversation fees charged by Meta Platforms are billed directly or pass-through according to official Meta rate cards.
- Cancellation: You may cancel your subscription at any time via the billing portal. Cancellations take effect at the conclusion of the active billing cycle.
7. Intellectual Property & Customer Content
Your Content: You retain complete ownership of all messages, customer profiles, brand assets, and catalog data you upload or transmit through Convoos. You grant Convoos a limited license solely to process and transmit your content as necessary to provide the Services.
Our IP: The Convoos name, logo, software code, user interface designs, AI architecture, and documentation are the exclusive intellectual property of Convoos and its licensors.
8. Service Level Agreement (SLA) & Uptime
Convoos commits to commercially reasonable efforts to maintain an operational uptime of 99.9%. Scheduled maintenance windows, force majeure events, and outages on Meta’s third-party infrastructure are excluded from uptime calculations.
9. Limitation of Liability & Disclaimers
To the maximum extent permitted by applicable law, Convoos provides the Services "AS IS" and "AS AVAILABLE" without warranties of any kind. In no event shall Convoos be liable for indirect, incidental, punitive, or consequential damages, lost profits, or data loss arising from your use of the platform.
10. Term & Account Termination
Either party may terminate this Agreement at any time. We reserve the right to immediately suspend or terminate access without notice if you breach these Terms, violate WhatsApp messaging policies, or engage in fraudulent activities.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Slovenia and the European Union, without regard to conflict of law principles. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Ljubljana, Slovenia.
